Welcome to Completely Branded. These Terms and Conditions govern the sale of wholesale promotional branding products ("Products") by Completely Branded to you, the customer ("Customer," "you"). By placing an order with us, you agree to be bound by these Terms and affirm that you are a business entity purchasing for commercial, not personal, use.

1. Scope and Application

These Terms apply exclusively to all sales of Products by Completely Branded to the Customer and supersede any other terms not expressly included herein. No other terms, statements, or representations, written or oral, shall be binding unless agreed to in writing by both parties.

2. Orders and Acceptance

1. Orders must be submitted via contact form, email, phone or via our approved electronic ordering system. Each order shall specify the quantity of Products, branding requirements , descriptions, applicable prices, and requested delivery dates.

1. Our acceptance of your order will occur upon sending a written confirmation or commencing the actions necessary to fulfil the order, whichever occurs first. This acceptance is expressly limited to the Terms herein.

3. Pricing

Prices for our Products are subject to change without prior notice. Prices are exclusive of taxes, shipping, and handling or other charges unless explicitly stated.

4. Delivery and Risk of Loss

1. Delivery dates are estimates. We will use reasonable efforts to meet the requested delivery dates but shall not be liable for any delay outside of our control. We will however make all efforts to resolve any issues to the best of our abilities.

1. Delivery is deemed complete, and risk of loss or damage to the Products passes to the Customer upon delivery to the carrier.

5. Product Specifications and Returns

1. We warrant that the Products will materially conform to our published specifications or other descriptions approved by us.

1. Returns of non-defective Products are at our discretion and may incur a restocking fee. Custom-made or personalized Products are non-returnable unless defective.

6. Intellectual Property Rights

1. The Customer represents and warrants that it has the right to use, and to authorize us to use, any logos, trademarks, or designs provided to us for incorporation into the Products.

1. The Customer shall indemnify, defend, and hold harmless Completely Branded against all claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from any breach of this representation and warranty.

7. Limitation of Liability

In no event shall Completely Branded be liable for any indirect, special, incidental, or consequential damages arising out of or related to these Terms or the transactions contemplated hereby, even if informed of the possibility of such damages.

8. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including, without limitation; war, riot, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labour, or materials.

9. Governing Law and Jurisdiction

These Terms and any disputes arising out of or related to these Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without giving effect to any choice or conflict of law provision or rule.

10. Amendments and Modifications

We reserve the right to amend these Terms at any time. All amendments will be posted on our website and will become effective immediately upon posting. Continued use of our Products or services after such posting will constitute acceptance of the revised Terms.

11. Miscellaneous

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
